Terms of Service

By accessing or using PestControl ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you are agreeing to these Terms on behalf of that organization, and you represent that you have the authority to bind the organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

PestControl is a software-as-a-service (SaaS) platform designed for pest control businesses. The Service includes tools for:

•Customer and property management

•Job scheduling and dispatch

•Technician management and GPS tracking

•Invoice generation and payment processing

•Customer portal and communication tools

•Analytics and reporting

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

To use the Service, you must create an account. You agree to:

•Provide accurate, current, and complete information during registration

•Maintain and promptly update your account information

•Maintain the security of your account credentials

•Accept responsibility for all activities that occur under your account

•Notify us immediately of any unauthorized access or security breach

You may not use another person's account without their explicit permission. One organization may have multiple users under a single subscription plan, subject to the limits of your plan.

Subscription Plans

The Service is offered on a subscription basis. Available plans, features, and pricing are described on our Pricing page. Plan limits (users, customers, jobs per month) are enforced by the platform.

Billing

Subscriptions are billed monthly in advance. By providing a payment method, you authorize us to charge your payment method for all fees incurred. All fees are non-refundable except as expressly stated in these Terms.

Free Trial

New accounts receive a free trial period. No payment is required during the trial. At the end of the trial, your account will be limited to the Starter plan unless you subscribe.

Upgrades and Downgrades

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately. Downgrades take effect at the next billing cycle.

Failed Payments

If payment fails, we will notify you and attempt to collect payment. After 7 days of failed payment, your account may be suspended. After 30 days, your account may be cancelled and data deleted.

You agree not to use the Service to:

•Violate any applicable law, regulation, or third-party rights

•Upload or transmit malicious code, viruses, or harmful software

•Attempt to gain unauthorized access to any part of the Service or its infrastructure

•Scrape, crawl, or extract data from the Service without our written permission

•Resell, sublicense, or transfer access to the Service to third parties

•Use the Service for any purpose that competes with our business

•Harass, abuse, or harm another person or organization

•Send spam, unsolicited messages, or bulk communications without consent

We reserve the right to suspend or terminate your account immediately if you violate these terms.

Your Data

You retain ownership of all data you upload to the Service ("Customer Data"), including customer records, job history, invoices, and any other content. We do not claim ownership of your Customer Data.

License to Us

By using the Service, you grant us a limited license to store, process, and display your Customer Data solely to provide the Service to you.

Data Processing

We process your data in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

Data Export

You may export your Customer Data at any time from within the Service. We provide CSV export functionality for all major data types.

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential.

This obligation does not apply to information that:

•Is or becomes publicly available through no fault of the receiving party

•Was already known to the receiving party prior to disclosure

•Is independently developed by the receiving party without use of confidential information

•Is required to be disclosed by law or court order

The Service, including its software, design, text, graphics, logos, and other content (excluding Customer Data), is owned by PestControl and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. This license does not include the right to:

•Copy, modify, or create derivative works of the Service

•Reverse engineer or attempt to extract the source code of the Service

•Remove or alter any proprietary notices or labels on the Service

The Service integrates with third-party services including Stripe for payment processing, Cloudinary for file storage, Twilio for SMS, and Google Maps for location services. Your use of these integrations is subject to their respective terms of service and privacy policies.

We are not responsible for the availability, accuracy, or content of third-party services. We make no warranties regarding any third-party service.

We aim to provide the Service with at least 99.5% uptime, excluding scheduled maintenance. We will provide at least 24 hours advance notice for planned maintenance that affects service availability.

We do not guarantee uninterrupted or error-free operation of the Service. We are not liable for any losses or damages arising from service interruptions, unless caused by our gross negligence or willful misconduct.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PESTCONTROL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

By You

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You remain responsible for any charges incurred before cancellation.

By Us

We may suspend or terminate your account if you violate these Terms, fail to pay fees, or if we determine that continued service poses a risk to us or other users.

Effect of Termination

Upon termination, your right to access the Service ceases immediately. We will retain your data for 30 days after termination, during which you may export it. After 30 days, your data will be permanently deleted.

We reserve the right to modify these Terms at any time. We will provide at least 30 days notice of material changes via email or a prominent notice within the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the new Terms.

If you do not agree to the modified Terms, you must stop using the Service before the effective date.

These Terms are governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
